What We Need
Kymeta is looking for a Senior Contracts & Compliance Manager. The Senior Contracts & Compliance Manager will be a key member of our legal team, responsible for overseeing contracts’ lifecycle, assisting with regulatory and compliance initiatives, and supporting stock option administration as needed in the future. This role is suited for an experienced contracts and legal professional with exceptional organizational and communication skills, legal acumen, and the ability to manage multiple priorities in a fast-paced environment. KEY DUTIES AND RESPONSIBILITIES
Contract Management:
Lead or support the drafting, negotiation, and review of a wide variety of contracts, including for employees, vendors, customers, NDAs, consulting and professional services agreements.
Manage and enhance Kymeta’s contract management software solution, including prompt filings and tagging, and accurate tracking of renewals, expirations, and obligations.
Collaborate with internal stakeholders to track contractual obligations, resolve complex contractual issues, and align with company policies and strategic objectives.
Collaborate with the finance team to assist with the stock option plan agreements, including grants, exercises, and reporting, as needed in the future.
Regulatory and Compliance Support:
Collaborate with in-house counsel, regulatory personnel, sales operations, and supply chain management to develop and execute compliance programs including those related to export control, product certification, and supplier screening.
Support internal teams in complying with relevant regulatory changes affecting the business, ensuring alignment with applicable regulations.
Review hardware certification documents for accuracy based on a list of required standards provided by regulatory personnel, support internal compliance audits, and assist in maintaining accurate records of compliance-related documentation in the company’s recordkeeping software solution.Corporate
Governance:
Support the legal and finance teams, and outside counsel to implement various financings including equity, convertible note, and debt financings, including stock certificate preparation and distribution
Coordinate with the legal and the leadership teams to assemble Board meeting material and resolutions, as well as internal and virtual minute book management/maintenance.
SKILLS AND EXPERIENCE
7+ years of experience in contract management, paralegal, legal operations, or a similar role.
In-depth knowledge of contract law and drafting.
Experience with regulatory compliance frameworks and equity administration a plus.
Proficiency with contract management systems and equity management platforms (e.g., Juro, Ironclad, OptionsTrax, Carta).
Exceptional writing, organizational, and project management skills with a keen attention to detail.
Proven ability to navigate complex contractual negotiations and regulatory landscapes.
Strong interpersonal and communication skills, with experience working cross-functionally across teams.
Experience in fast-paced technology companies or startups is a strong plus.
Familiarity with capitalization tables is a strong plus.
EDUCATION
Bachelor’s degree required; relevant master’s degree, Juris Doctorate, or paralegal certification is
COMPENSATION
Kymeta is committed to fair and equitable compensation practices. In the spirit of pay transparency, we have determined the salary range for this position to be $125,000 - $200,000. This is the full base salary range for the role. Hiring at the maximum of the range would be atypical, in order to allow for future and continued salary growth. Compensation packages are based on a variety of factors unique to each candidate, including but not limited to: skill set, years and depth of experience, certifications, and geography. The total compensation package for this position includes an annual target bonus of 10%, stock options, and benefits listed below. We believe in the importance of pay equity and consider internal equity of our current team members as a part of any final offer.
